Mimira AI Terms of Use
Version 1.0 · Effective July 31, 2026
These Terms of Use (the "Terms") are a legal agreement between you and Mimira AI LLC ("Mimira", "we", "us"), governing access to and use of the Mimira AI platform, including our website, admin dashboard, chatbot and automation tools, and related services (collectively, the "Services").
By creating an account, clicking "I agree," or otherwise accessing or using the Services, you confirm - on behalf of yourself and the clinic or business you represent ("Customer", "Clinic", "you") - that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services.
1. About Mimira
Mimira AI is an AI chatbot and automation platform built for aesthetic and beauty clinics. Depending on your subscription plan, the Services may include:
- AI-assisted chat and customer messaging across connected channels (including LINE, Facebook Messenger, Instagram, and WhatsApp);
- appointment booking, reminders, and customer communication workflows;
- a knowledge base for grounding AI responses in your clinic's own procedures, pricing, and policies;
- marketing and broadcast messaging tools;
- onboarding, hosting, updates, and support.
We may add, modify, or discontinue features at any time. We'll give reasonable notice of material changes that affect active customers.
Mimira does not provide medical advice. The Services support administrative, booking, customer communication, marketing, and workflow automation functions. You remain solely responsible for all clinical, treatment, diagnostic, prescription, and patient-care decisions made by your clinic.
2. Eligibility and Accounts
To use the Services, you must register an account with a valid email address and be at least 18 years old with the authority to bind your clinic or business to these Terms.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account;
- ensuring everyone you invite to your account complies with these Terms;
- notifying us promptly if you suspect unauthorized access to your account.
3. Subscription, Fees, and Payment
Your subscription plan, billing cycle, fees, authorized branches, authorized admin users, add-ons, and any special commercial terms will be set out in an order form, statement of work, invoice, or other written ordering document agreed between you and Mimira (an "Order Form").
- Fees are due according to the payment terms stated in the applicable Order Form. If no payment term is stated, invoices are payable within 7 days of the invoice date.
- All fees are non-cancelable and non-refundable except as expressly stated in these Terms or the applicable Order Form. You remain responsible for all fees for the then-current subscription term, even if you stop using the Services before the end of that term.
- Fees are exclusive of taxes, duties, bank charges, withholding taxes, and payment processing fees unless stated otherwise. You are responsible for all applicable taxes other than taxes based on Mimira's net income.
- Late payments may accrue interest at 1.5% per month, or the maximum amount permitted by law, whichever is lower.
- We may suspend access to the Services if undisputed fees remain unpaid more than 10 days after we provide written notice of non-payment.
- We may update our standard list prices from time to time. Any price increase for an active subscription applies only at renewal, unless otherwise agreed in your Order Form.
4. Renewal and Cancellation
Unless either party gives written notice of non-renewal at least 5 days before the end of the then-current subscription term for monthly plans, or 30 days before the end of the then-current subscription term for annual plans, your subscription will automatically renew for a successive term equal to the prior term. Monthly subscriptions renew monthly; annual subscriptions renew annually.
Except as expressly stated in these Terms, fees are non-refundable. If you cancel before the end of a paid term, you remain responsible for all fees for that term.
5. Your Responsibilities
You are responsible for:
- ensuring that data you submit to the Services may lawfully be provided to and processed by Mimira;
- obtaining all required patient, client, employee, and end-user notices and consents before that data reaches the Services;
- telling patients or customers about AI-generated responses before those responses are relied on for clinical, medical, legal, financial, or other regulated decisions;
- ensuring your use of the Services complies with applicable law, clinic regulations, advertising rules, privacy laws, and the rules of any third-party platform you connect (such as LINE, Meta, or payment processors).
6. Acceptable Use
You must not:
- reverse engineer, decompile, copy, modify, or create derivative works of the Services;
- resell, sublicense, rent, or provide the Services to third parties except as expressly permitted;
- use the Services to build or train a competing product;
- bypass usage limits, security controls, or access restrictions;
- distribute a knowledge base or content provided to you through the Services to other people or clinics;
- use the Services to send spam or unlawful marketing communications, or to message people who have not given the required consent;
- interfere with the operation, integrity, or security of the Services;
- attempt to gain unauthorized access to another customer's data or to our platform infrastructure;
- use the Services in violation of LINE, Meta, payment processor, or other third-party platform terms;
- provide false information during registration or in your account profile.
Violating these restrictions may result in suspension or termination of your account. We reserve the right to report unlawful activity to the relevant authorities.
7. Your Data, Deletion, and Privacy
You own all data, content, messages, files, clinic information, and patient or client information you submit to the Services ("Customer Data"). Mimira receives only the rights necessary to host, process, transmit, display, analyze, and support Customer Data to provide, secure, improve, and support the Services.
You represent that you have all rights, notices, permissions, and consents necessary for Mimira to process Customer Data as described in these Terms and our Privacy Policy.
How we collect, use, disclose, and safeguard personal data - including data processed through connected messaging channels and AI features - is described in full in our Privacy Policy, which forms part of this agreement. Where required by applicable law, we will enter into a separate data processing agreement with you.
The Services include retention and deletion controls for Customer Data. Conversation history, media, and related operational records are automatically deleted or excluded from active processing according to the retention period configured for your clinic, subject to legal, security, backup, audit, and billing requirements. Unless a different retention period is configured or legally required, conversation history is retained for the default period described in our Privacy Policy.
Mimira allows clinics to process deletion requests through the Services and by accepting deletion requests by email. If a patient, client, or messaging user asks you to delete their data, you can contact us for assistance.
You, your authorized account administrator, or an end user may request deletion by emailing hello@mimira.tech with enough information for us to identify the clinic, account, Connected Channel, and user record involved. After verifying the request and any authority needed to act on it, we will delete or de-identify the applicable Customer Data from active systems within a reasonable time, unless we must retain limited information for legal, security, fraud-prevention, dispute, audit, backup, or billing purposes.
Upon termination, we will make Customer Data available for export for 30 days upon written request, unless prohibited by law or security requirements. After that period, we will delete Customer Data in accordance with our retention practices.
8. Connected Channels and Third-Party Integrations
The Services may integrate with third-party platforms, including LINE, Facebook, Instagram, WhatsApp, Google, calendar systems, payment tools, and AI providers (collectively, "Connected Channels"). Your use of those platforms is subject to their own terms.
By connecting a Connected Channel, you authorize Mimira to receive, process, store, and transmit messages, files, appointment details, payment confirmations, and related data through that channel as necessary to provide the Services.
You are solely responsible for the content, accuracy, legality, and appropriateness of all messages, promotions, consent forms, intake forms, and automated workflows you configure or approve, and for obtaining and maintaining all required consents, notices, and opt-ins before sending marketing, promotional, appointment, or patient-related communications through the Services. You must not upload or transmit sensitive medical, health, identity, or payment data unless you have a lawful basis and all required consents to do so.
Mimira is not responsible for failures, delays, data loss, message delivery issues, API changes, account suspensions, rate limits, policy changes, or outages caused by Connected Channels or other third-party providers. Mimira is not the system of record for patient consent, medical records, treatment decisions, payment records, or regulatory compliance records - you are responsible for maintaining your own legally required records.
We may suspend or disable any Connected Channel, webhook, upload function, or automated workflow if we reasonably believe it creates a security, legal, privacy, platform compliance, or operational risk.
9. AI-Generated Content
The Services use AI to draft or send replies to patient and customer messages and to answer questions from your knowledge base. AI-generated output may be inaccurate, incomplete, or inappropriate for a given circumstance, and Mimira does not warrant otherwise.
Whether the AI assistant identifies itself as AI to a given patient or customer is a setting you control. You are responsible for telling patients about AI-generated responses before they are relied on for clinical, medical, legal, financial, or other regulated decisions, and for reviewing AI output before it is used in any regulated or safety-sensitive context.
10. Usage Limits
The Services are subject to usage limits, including limits on chats, messages, conversations, media files, uploaded documents, knowledge base materials, and storage capacity, as set out in your Order Form or subscription plan. If you reach a usage or storage limit, the Services may become limited, unavailable, or non-functional for the affected feature until the limit is increased, reset, or additional capacity is purchased. You are responsible for monitoring your own usage; we may, but are not required to, provide advance notice as limits are approached.
11. Support and Availability
We will onboard you and set up the Services for your clinic, and can import our pre-prepared knowledge base about common procedures upon request. We use commercially reasonable efforts to keep the Services available and provide support during normal business hours, excluding planned or emergency maintenance, force majeure events, issues caused by you, and third-party platform failures.
12. Intellectual Property
Mimira owns all right, title, and interest in the Services, including our software, models, workflows, documentation, designs, and related intellectual property. Nothing in these Terms transfers any of our intellectual property rights to you.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription term solely for your internal business operations.
You own Customer Data and your own trademarks, content, and clinic materials. If you provide feedback or suggestions, we may use them without restriction or compensation, provided we do not disclose your confidential information in doing so.
13. Confidentiality
Each party may receive non-public business, technical, financial, product, customer, or operational information from the other ("Confidential Information"). Each party will use the other's Confidential Information only to perform under these Terms, protect it with reasonable care, and disclose it only to personnel or service providers who need to know it and are bound by confidentiality obligations. Confidential Information does not include information that is public, already known without restriction, independently developed, or lawfully received from another source.
14. Warranties and Disclaimer
We warrant that we will provide the Services in a professional and workmanlike manner.
Except as expressly stated, the Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that AI-generated output will be accurate, complete, compliant, or appropriate for every circumstance.
15. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or business interruption arising from these Terms or use of the Services.
Each party's total liability under these Terms will not exceed the fees paid or payable by you to Mimira during the contract term before the event giving rise to the claim. This cap does not apply to payment obligations, confidentiality breaches, intellectual property misuse, indemnification obligations, or liability that cannot legally be limited.
16. Suspension
We may suspend your access to the Services if:
- you fail to pay overdue fees after notice;
- your use creates a security, legal, operational, or reputational risk;
- you violate the Acceptable Use section of these Terms;
- suspension is required by law or a third-party platform.
We will use reasonable efforts to provide prior notice where practical.
17. Termination
Either party may terminate this agreement for material breach if the breach is not cured within 30 days after written notice. We may terminate immediately if you use the Services unlawfully, infringe our rights, create a security risk, or fail to pay overdue amounts after notice.
Upon termination, your access to the Services will end, all unpaid fees become immediately due, and each party must stop using the other's Confidential Information except as required for legal or archival purposes. You may request an export of your Customer Data as described in Section 7.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms will first be addressed through good-faith negotiation between the parties. If unresolved, the dispute will be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York.
19. Publicity
We may identify you as a Mimira customer, using your name and logo, unless you object in writing.
20. General Terms
Force majeure. Neither party is liable for delay caused by events beyond its reasonable control, including natural disasters, war, labor disputes, internet failures, third-party platform outages, government action, or payment network failures.
Assignment. You may not assign these Terms without Mimira's prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets. Mimira may assign these Terms to an affiliate or successor.
Entire agreement. These Terms, together with our Privacy Policy and any Order Form, statement of work, data processing agreement, or written addendum, form the entire agreement between the parties and supersede prior discussions on the same subject.
Amendments. We may update these Terms from time to time. Material changes will be reflected in the "Version" date above, and where appropriate we will notify account administrators by email. Continued use of the Services after an update constitutes acceptance of the revised Terms. Any amendment to a signed Order Form must be in writing and signed by both parties.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
Notices. Notices must be sent to the addresses or emails listed in your Order Form, or to updated notice details provided in writing.
